This document constitutes a legal agreement between Ronin Digital LLC ("RoninFlow") and any person or entity using the RoninFlow platform, in any of its roles: Gym, Student/Athlete, Promoter, or Delegated Admin.
By creating an account and checking the acceptance box, you declare that you have read, understood, and accepted these Terms and our Privacy Policy. Acceptance is digitally recorded with the date, time, and version accepted.
"Platform": the RoninFlow application and all its modules. "Gym/Dojo": the school that subscribes to RoninFlow. "Student/Athlete": the person affiliated with a Gym. "Promoter": the person who organizes tournaments/events. "Delegated Admin": a person designated by the Super Admin with limited permissions. "Settlement": the periodic transfer of net funds to a Gym. "RoninStore": each Gym's product-selling module.
RoninFlow is a SaaS platform for membership management, billing, belt testing, digital identification, product sales (RoninStore), and tournament organization (Tournaments module). RoninFlow acts as a technology and payment intermediary; it does not directly operate any affiliated gym.
Users must provide truthful information and keep their credentials secure. RoninFlow may suspend accounts with false information or fraudulent activity. Minors require verifiable consent from a parent or legal guardian.
All rights to the Platform, its design, the RoninFlow™ brand, and its code belong exclusively to Ronin Digital LLC. User-generated content remains the user's property, with a non-exclusive license granted to RoninFlow to display it within the Platform.
The processing of personal data is governed by RoninFlow's Privacy Policy, which forms an integral part of these Terms.
RoninFlow is not liable for indirect or consequential damages. Total liability is limited to the amount of commissions/fees paid by the claiming user to RoninFlow during the 3 months preceding the claim.
RoninFlow may suspend accounts that violate these Terms, without prejudice to any pending Settlements already generated. Users may request account deletion at any time.
Material changes will be notified at least 30 days in advance. Continued use after changes take effect constitutes acceptance of the new Terms.
These Terms are governed by the laws of the State of Wyoming, United States. Any legal dispute not resolved directly between the parties shall be subject to the courts of the State of Wyoming.

Role-specific terms
5.1 SaaS Fee: USD $45/month, charged automatically, non-refundable unless required by law, prorated in the signup month. Changes require 30 days' prior notice.
5.2 Commission: RoninFlow applies a per-category commission when the charge is processed through Stripe, calculated on the NET amount actually received by RoninFlow after the Stripe processing fee (not on the gross amount charged to the student). Current rates by category:
The actual Stripe processing fee is passed through at cost, with no additional margin retained by RoninFlow. Membership, Exam, and POS charges the Gym records in cash or by bank transfer (not processed through Stripe) carry no RoninFlow commission at all — they are covered by the monthly SaaS fee. The monthly SaaS fee (USD $45/month per active gym) is deducted directly from the gym's monthly Settlement; it is not charged separately to the gym's card. RoninFlow absorbs the Payoneer payout fee when settling with the gym; that cost is not deducted from the gym's payout. The Founding Gym program has special conditions (frozen SaaS fee and a reduced-commission period) detailed separately within the Platform.
5.3 Settlements: periodic, net of commissions. RoninStore sales have a 5-day escrow period before being included in a Settlement. There is no minimum settlement amount. The Gym is responsible for keeping its payout details (bank, account, IBAN/SWIFT, beneficiary) accurate. Settlement disputes are resolved in good faith through the Platform. Negative balances are offset against the next positive Settlement.
5.4 Recurring memberships: the Gym configures its plans; RoninFlow provides the billing infrastructure (Stripe Billing) with automatic retries, without guaranteeing successful collection of any specific charge.
5.5 RoninStore: the Gym is solely responsible for product quality, accurate description, inventory, and fulfillment. Products go through moderation (AI-assisted plus manual review) and may be rejected if unrelated to martial arts/combat sports.
5.6 Referrals: 1 free month of the SaaS fee for each new referred Gym that activates its subscription. The program may be adjusted, subject to honoring already-confirmed benefits.
5.7 Legal operation: The Gym warrants that it holds all licenses/permits necessary to operate legally and is solely responsible for its relationship with its own students, instructors, and staff.
